1. Introductory Provisions
Definitions
- Provider: Nuomy Technologies s.r.o., Company ID (IČ): 24009857, VAT ID (DIČ): CZ24009857, with its registered office at Nové sady 988/2, 602 00 Brno, operating the Nuomy platform available at nuomy.com
- Client: a legal person or authorised representative of a legal person who enters into a contract with the Provider for the provision of diagnostic services
- Participant: a natural person (typically an engineer or team member) who participates in a diagnostic session on behalf of the Client
- Platform: the Nuomy web application providing voice-based, scenario-driven AI diagnostics for engineering teams
- Diagnostic Session: a guided voice-based conversation between a Participant and the Platform's AI diagnostic agent, designed to assess competencies related to AI safety, prompt engineering, and engineering judgment
- Diagnostic Output: reports, scores, findings and other results generated by the Platform based on Diagnostic Sessions
- Service: the provision of Diagnostic Sessions, Diagnostic Outputs and related analytics through the Platform
Subject Matter
These Terms and Conditions (hereinafter "T&C") govern the relationship between the Provider and the Client in the provision of diagnostic services through the Nuomy Platform, including the provision of digital content within the meaning of § 2389a et seq. of the Civil Code.
Acceptance of T&C
By entering into a contract with the Provider or first using the Platform's services, the Client confirms that they have read these T&C and agree to them in full. If the Client does not agree with these T&C, they must not use the Platform's services.
2. Service Description
Nature of the Service
Nuomy provides voice-based AI diagnostics for engineering teams. The Platform conducts scenario-driven diagnostic conversations with individual Participants to measure how they think and work with AI, covering areas such as:
- AI safety and risk judgment
- Prompt engineering and prompt discipline
- Code trust and output verification
- Injection detection and context isolation
Diagnostic Process
- The Client arranges Diagnostic Sessions for their team members through a separate contract or order
- Each Participant completes a guided voice-based conversation (approximately 30 minutes)
- The Platform generates Diagnostic Outputs based on the conversation
- The Client receives team-level reports and analytics
No Subscription
The Platform does not operate on a subscription basis. Services are provided under individual contracts negotiated with the Client. Pricing, scope and delivery terms are defined in the applicable contract or order.
3. Contract and Payment Terms
Contract Formation
Services are provided based on individual contracts or orders agreed between the Provider and the Client. Each contract specifies the scope of services, pricing, payment terms and delivery timeline.
Payment Methods
Payment terms, methods and invoicing schedules are defined in the applicable contract. Invoices are sent electronically to the Client's designated email address.

Withdrawal from Contract for Digital Content
Given that the Service consists of delivering digital content not supplied on a tangible medium, the Client explicitly agrees to have the Service made available (performance commenced) upon the start of the first Diagnostic Session.
By accepting these T&C, the Client acknowledges that, in accordance with § 1837 písm. l) občanského zákoníku, this consent may extinguish the right to withdraw from the contract within 14 days without giving a reason once the Diagnostic Sessions have commenced.
4. Rights and Obligations of the Client
Client Entitlements
The Client is entitled to:
- Use the Platform's services in accordance with these T&C and the applicable contract
- Receive Diagnostic Outputs for their team
- Contact customer support
- Request modifications to the scope of services through the Provider
Client Obligations
The Client undertakes to:
- Provide accurate and up-to-date information
- Ensure that Participants are informed about the nature of the diagnostic process and data processing
- Not share access credentials with unauthorised third parties
- Not attempt to circumvent technical restrictions of the Platform or disrupt its operation
- Use Diagnostic Outputs solely for internal purposes unless otherwise agreed with the Provider
Participant Obligations
Each Participant undertakes to:
- Participate in Diagnostic Sessions in good faith
- Not attempt to manipulate or game the diagnostic process
- Not record, reproduce or distribute the content of Diagnostic Sessions without the Provider's consent
5. Rights and Obligations of the Provider
Service Provision
The Provider undertakes to:
- Provide Platform services at a quality appropriate to the nature of the services
- Deliver Diagnostic Outputs within the timeframe specified in the applicable contract
- Protect personal data in accordance with GDPR
- Maintain the confidentiality of Diagnostic Session content and results
Provider Intellectual Property
All rights to the Platform, including source code, design, AI algorithms, diagnostic methodologies, scoring models, databases and business know-how, remain the exclusive property of the Provider. The Client does not acquire any rights to these elements other than the right to use the Diagnostic Outputs as specified in these T&C and the applicable contract.
Changes to Services
The Provider reserves the right to:
- Modify and improve Platform features and diagnostic methodologies
- Add new features and remove obsolete ones
- Suspend services in the event of serious technical problems or security risks
Limitation of Liability
IMPORTANT NOTICE — AI Technology: The Platform uses artificial intelligence (AI) technologies for conducting Diagnostic Sessions and generating Diagnostic Outputs. The Client and Participants expressly acknowledge the following:
- Diagnostic, not deterministic: Diagnostic Outputs reflect behavioural patterns observed during the session and are not absolute measures of competency
- Not a substitute for professional assessment: The Platform does not replace formal professional certification, performance reviews or HR decisions
- AI limitations: AI models may occasionally produce unexpected or imprecise assessments. Results should be interpreted in context and alongside other evaluation methods
- Supportive tool: The Platform is a diagnostic and decision-support tool, not an authoritative final judgment on individual or team capability
General limitations of liability:
The Provider is not liable for:
- Decisions made by the Client based on Diagnostic Outputs (e.g., hiring, firing, promotion decisions)
- Damages arising from improper use of the Platform or Diagnostic Outputs by the Client
- Data loss caused by the Client's or Participant's device failure or insufficient security on their side
- Temporary unavailability of services caused by force majeure, DDoS attacks or other events beyond the Provider's control
- Damages arising from incompatibility with a specific device or software of the Client or Participant
The Provider's liability for damages is limited to the amount paid by the Client under the applicable contract, except in cases of intentional wrongdoing or gross negligence.
6. Complaints and Defect Removal
Rights from Defective Performance
The Provider is responsible for ensuring that the Service is in conformity with the contract. The following are considered non-conformity with the contract:
- Core Platform features do not work at all or function fundamentally differently from their description
- Diagnostic Outputs are not delivered within the agreed timeframe
- The Platform contains security vulnerabilities that have not been remedied within a reasonable time
Complaints Process
The Client may file a complaint by email to hello@nuomy.com with a description of the issue. The Provider will acknowledge receipt of the complaint and resolve it without undue delay, no later than 30 days from its submission. The Client will be informed of the outcome at the email address from which the complaint was filed.
Exclusion of Liability
The following are not considered defects:
- Variations in Diagnostic Outputs due to the inherent nature of AI-based assessment
- Malfunctions caused by incompatible devices, browsers or microphones of the Participant
- Issues caused by the Participant's internet connection or audio quality
- Unavailability due to pre-announced planned maintenance
7. Confidentiality
Mutual Confidentiality
Both parties undertake to treat as confidential all non-public information obtained in connection with the provision of services, including but not limited to:
- Diagnostic Outputs and individual Participant results
- Contract terms and pricing
- Business information and proprietary methodologies
Diagnostic Data
The Provider shall not disclose individual Diagnostic Session content or results to any third party without the Client's prior written consent, except where required by law.
8. Personal Data Protection
The Provider processes personal data in accordance with EU Regulation 2016/679 (GDPR) and Act No. 110/2019 Coll., on the processing of personal data. Detailed information about the processing of personal data is provided in the separate "Privacy Policy" document available at nuomy.com/privacy.
9. Specific Provisions for AI Outputs
Nature of AI Outputs
The Client acknowledges that Diagnostic Outputs are generated automatically using artificial intelligence (AI) algorithms. Due to the technological nature of AI services, the Provider does not guarantee absolute accuracy or completeness of diagnostic assessments. Diagnostic Outputs are intended as a supportive tool for understanding team competencies and should not be the sole basis for consequential decisions.
Service Availability
The Provider makes every effort to ensure continuous availability of the Platform. However, the Client acknowledges that temporary limitations in availability may occur due to system maintenance, updates or outages of third parties (e.g., cloud service providers or AI model providers).
The Provider does not guarantee 100% service availability.
Rights to Outputs
Diagnostic Outputs generated by the Platform are provided to the Client for internal use as specified in the applicable contract. The Client may not resell, sublicense or publicly distribute Diagnostic Outputs without the Provider's prior written consent.
Data Retention After Service Completion
After the completion of services or termination of the contract, the Provider may retain anonymised and aggregated data for the purpose of improving its diagnostic methodologies. Individual Participant data will be deleted or anonymised within 90 days of contract completion, unless a longer retention period is agreed in the contract or required by law.
Assignment of Agreement
The Provider is entitled to transfer its rights and obligations under this agreement (or the agreement as a whole) to a third party in connection with the sale of the business, merger or other form of company reorganisation, even without the prior consent of the Client, provided that such transfer does not result in a deterioration of the Client's rights.
10. Changes to T&C
The Provider is entitled to unilaterally change these T&C. The Client will be notified of any changes at least 14 days in advance. If the Client does not agree with the change, they may terminate the contract. Continued use of the services constitutes acceptance of the change.
11. Termination of Services
Termination by Client
The Client may terminate the contract by written notice to the Provider in accordance with the termination terms specified in the applicable contract.
Termination by Provider
The Provider may terminate the provision of services upon serious or repeated violation of these T&C, in particular in the case of:
- Misuse of the Platform or Diagnostic Outputs
- Non-payment of agreed fees
- Breach of confidentiality obligations
Upon termination, the Client may request delivery of any outstanding Diagnostic Outputs for completed sessions. The Provider may archive the Client's data for 90 days, after which it may be permanently deleted.
12. Final Provisions
Governing Law and Dispute Resolution
These T&C are governed by the laws of the Czech Republic. Any disputes shall be resolved before the competent courts of the Czech Republic.
If the Client is a consumer, they have the right to contact the Czech Trade Inspection Authority (www.coi.cz) or use the online dispute resolution platform (ec.europa.eu/consumers/odr).

Effective Date
